General Counsel - Chicago, IL or Omaha, NE/Hybrid

­Position Summary

Vivacity Infrastructure Group is seeking a General Counsel to join our team as a strategic business partner. This individual will be skilled in working directly with business colleagues to manage contract drafting, review and negotiations and address legal risks as they arise. As a General Counsel, you will represent and provide counsel to the Company on a variety of commercial transactions and other legal matters. The General Counsel will handle Company and vendor contracts, corporate issues, regulatory, compliance, mergers and acquisitions and general commercial law.

Roles & Responsibilities

  • Provide counsel and guidance to business leaders regarding legal issues in their

    business activities

  • Support the implementation of new processes to enhance compliance with applicable laws

  • Draft, review, negotiate and interpret a variety of transactional and commercial

  • agreements with vendors and partners

  • Participate in the review of diligence materials and legal documents in conjunction with

    prospective acquisitions

  • Drive the improvement of form agreements, legal processes, organizational processes,

    document management standards, policies and business guardrails

  • Support the maintenance of corporate governance records and filings

  • Negotiate and draft sophisticated right-of-way development, software license,

    sublicense, partnership, joint venture, teaming, construction, subcontract and other

    agreements

  • Evaluate new business relationships with customers, vendors and subcontractors

  • Develop and implement Company policies on various legal issues

  • Maintain the Company’s corporate records and those of its affiliates

  • Guide Managers and ensure compliance with administrative regulations

  • Represent Company in all legal proceedings (trials, administrative proceedings, etc.)

Job Requirements

Qualification & Education

  • J.D. degree from an ABA-approved law school.

Education

  • Current license to practice law with at least 7 years of relevant experience

  • Proven background in corporate, contract, real property, construction, intellectual property and business law

  • Proven comparable law firm or in-house counsel experience

Skills/Knowledge/Abilities

  • High ethical standards and integrity required

  • Ability to work independently with minimal supervision while demonstrating good judgment

  • Excellent negotiation and communications skills

  • Administrative and managerial skills

  • Analytical ability and strong attention to detail

  • Proficient computer skills
